MallBasket Terms and Conditions

Welcome to MallBasket ("we", "our", or "the Platform"). By accessing or using MallBasket, you agree to be bound by these Terms and Conditions. Please read them carefully before using our services.

These Terms and Conditions are also the Terms of Use (End User License Agreement, or "EULA") for the MallBasket mobile applications, and are published at mallbasket.com/eula for that purpose. This EULA covers any auto-renewable subscriptions (section 3) and credit packs (section 4) bought in those apps as in-app purchases ("IAP"). If you obtained the app from the Apple App Store, the additional terms in section 11 also apply. Our handling of personal data is described in our Privacy Policy.

1. Overview

MallBasket is an online marketplace that enables store owners to create virtual stores, list products, and sell them to users. The Platform is operated by GENERICS LAB SOFTWARE, LLC ("we", "our", or "MallBasket"); our contact details are in section 13.

Payments for orders placed with stores on MallBasket are processed securely through Cybersource, a third-party payment gateway provided by Visa. Purchases made inside our iOS or Android app — store subscriptions and credit packs — are processed by Apple or Google through in-app purchase, and are covered by sections 3 and 4. By using MallBasket, you agree to comply with all applicable laws and the following terms.

2. Payment Process

This section covers payments for orders placed with stores on MallBasket. Store subscriptions and credit packs bought inside our apps are covered by sections 3 and 4 instead.

2.1 Checkout providers

Each store chooses the checkout provider its buyers pay through. That choice is either MallBasket's own payment rails, or the store's own account with a third-party provider: Stripe, PayPal, or a custom payment gateway the store operates or contracts itself. The provider presented at checkout is the one in use for that order.

Which provider a store uses determines who collects the money, who can refund it, and who you are transacting with. MallBasket may add, change, or withdraw the providers it supports.

2.2 Payments collected by MallBasket

  • Payments for orders are made by buyers via credit card using the Cybersource payment gateway.
  • Payments are received by MallBasket on behalf of store owners.
  • Payouts to store owners are made at the end of each calendar month.
  • This holding period allows us to process refunds, returns, and resolve any disputes or fraudulent activities.
  • What MallBasket charges for this provider. On orders paid through MallBasket's default checkout provider (Cybersource), MallBasket charges a platform fee of 3% of the order total plus a fixed US$0.25 per transaction. A store's plan or sales-volume tier may carry a reduced commission rate, as shown on our pricing page; where it does, that rate applies in place of the 3%.
  • These platform service fees and commissions are deducted automatically from the payout before it is issued to the store owner. Cash-on-delivery orders carry no commission, because MallBasket does not process those payments.

2.3 Payments collected directly by the store (Stripe, PayPal, and custom gateways)

  • Where a store has connected its own Stripe account, its own PayPal account, or its own custom payment gateway, the buyer pays into that store's own merchant account. Those funds never pass through MallBasket, MallBasket does not hold them, and no payout is issued by MallBasket for them — the store receives the money directly from its provider.
  • For those orders the store is the merchant of record. Your card, bank, or PayPal statement may therefore show the store's own merchant name rather than MallBasket.
  • Platform service fees and commissions remain payable under the store's plan. Because MallBasket does not hold these payments, those amounts are not deducted from a payout.
  • How connected credentials are used. A store supplies its own credentials, which MallBasket stores on its servers, never displays to buyers or to other stores, and uses solely to create and complete that store's own checkouts:
    • Stripe — a restricted API key, scoped to only the permissions needed to charge that store's buyers.
    • PayPal — a live Client ID and Secret. MallBasket registers the webhook it needs in order to confirm that a payment completed.
    • Custom gateway — an endpoint URL and a shared secret. MallBasket sends the store's endpoint a request signed with that secret, opens the payment page the endpoint returns, and marks the order paid only once the store's own signed webhook confirms a settled payment for a matching amount and currency.
  • A store may revoke or rotate these credentials with its provider at any time. Doing so stops checkout for that store until it reconnects or selects a different provider.
  • Paying through a third-party provider also makes you subject to that provider's own terms, privacy policy, and restrictions. As one example, PayPal does not support the Jordanian Dinar (JOD), so PayPal checkout is unavailable for items priced in JOD.
  • Refunds, chargebacks, disputes, and payment receipts for these orders are handled by the store inside its own provider account and under that provider's rules. MallBasket cannot refund or reverse a payment it never received.

2.4 Payment records

Whichever provider is used, MallBasket records the order's payment status and the reference its provider returns, so the order can be reconciled and shown in your order history. Section 10 sets out the limits of our liability for payments, including those collected directly by a store.

3. Store Subscriptions (Auto-Renewable)

Store owners may subscribe to a paid MallBasket plan. Each subscription applies to a single store and is offered on a monthly or yearly basis. The plan name, the length of the subscription period, and the price are shown on the subscription screen before you confirm the purchase.

  • What a plan includes. Each plan unlocks a set of platform features for one store and includes an amount of AI credits granted at the start of every billing period. The features and the credit amount for each plan are shown on the subscription screen. Those credits are governed by section 4.
  • Billing. Subscriptions purchased inside our iOS or Android app are auto-renewable IAP, sold through the Apple App Store or Google Play and charged to your Apple ID or Google Play account at confirmation of purchase. Those stores, not MallBasket, process IAP payments and issue their receipts. Subscriptions purchased on our website are charged to the payment method you provide through Cybersource.
  • Automatic renewal. Your subscription renews automatically for the same period at the then-current price unless auto-renewal is turned off at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the end of the current period.
  • Managing and cancelling. You can manage your subscription and turn off auto-renewal at any time after purchase — on iOS in Settings › your name › Subscriptions, on Android in Google Play › Subscriptions, or in your MallBasket store account for subscriptions bought on our website. To avoid being charged for the next period, turn auto-renewal off at least 24 hours before the current period ends. Deleting the app does not cancel a subscription.
  • Cancellation takes effect at period end. Cancelling stops the next renewal. Your plan stays active and your store stays published until the end of the period you already paid for. The current subscription period cannot be cancelled while it is running, and it is not refunded on a pro-rata basis.
  • Refunds. Refunds for subscriptions purchased through the Apple App Store or Google Play are handled by Apple or Google under their own policies, not by MallBasket. App Store refund requests are made at reportaproblem.apple.com. Refunds for subscriptions purchased on our website are handled under section 7 below.
  • Free trials and promotions. Where a free trial is offered, any unused portion of the trial is forfeited when you purchase a subscription to that plan. Promotional prices apply only for the stated period, after which the standard price applies.
  • Price changes. We may change subscription prices. Changes apply from your next renewal, and we will notify you in advance as required by the store you purchased through, giving you the opportunity to cancel before the change takes effect.
  • Taxes. Prices shown may include or exclude tax depending on your country. Any tax on a subscription bought through the Apple App Store or Google Play is calculated and collected by Apple or Google.
  • One active plan, upgrades and downgrades. All MallBasket plans are sold in a single subscription group, so only one plan can be active at a time on the same Apple ID or Google Play account. Changing plan while a period is running is handled by Apple or Google under their own proration rules.
  • Failed payments. If a renewal payment cannot be collected, Apple or Google may retry it during a billing grace period, and your plan stays active while they do. If the payment is still not collected, the subscription ends and the store is downgraded.
  • Restoring a purchase. A subscription belongs to the Apple ID or Google Play account that bought it. You can restore it on another device by signing in to the app with the same account.
  • Plan limits and downgrades. Each plan carries its own limits and features. If a subscription expires, is cancelled, or is refunded, the store is downgraded and any features or limits above the free tier stop being available.

4. AI Credits (One-Time Purchases)

Credits are the in-app unit used to run MallBasket's AI features for a store — for example analyzing an image, editing text, or enhancing and generating an image. Each action costs a set number of credits, which is shown in the app before you run it. Credits are not a payment method for goods, not a stored-value or money-transfer product, and not a substitute for currency.

  • Buying credits. Credit packs are one-time purchases, not subscriptions, and they do not renew. Packs bought inside our iOS or Android app are consumable IAP charged to your Apple ID or Google Play account at confirmation of purchase; the pack size and the price are shown before you confirm. As with any IAP, the App Store or Google Play processes the payment, and their refund policies apply to it.
  • Where credits live. Credits are added to the balance of the specific store you bought them for and may be used by any member of that store. They cannot be moved between stores, transferred to another account, sold, or given to another user.
  • No cash value. Credits have no monetary value outside MallBasket's AI features. They cannot be exchanged, redeemed, or cashed out for money, payouts, or any other property, and they are not refundable except as required by law or under Apple's or Google's own refund policies.
  • Spending credits. Credits are deducted from the store's balance when an AI action is performed, at the per-action cost shown in the app. AI output is generated automatically and may be inaccurate or unsuitable; credits spent on a completed action are not returned because you are dissatisfied with the result. You are responsible for reviewing any AI-generated text or image before you publish it, and section 5 applies to it in full.
  • Changes to costs and packs. We may change the credit cost of an AI action, the pack sizes we offer, the AI providers we use, or the AI features themselves. A change to a per-action cost applies going forward only, never retroactively to credits already spent.
  • Credits included with a plan. Paid plans grant credits at the start of each billing period (section 3), added to the same store balance. Unused credits carry over and do not expire while the store exists. We may reverse a grant if the payment for that period is refunded, reversed, or charged back.
  • Forfeiture. Any remaining credit balance is forfeited without compensation if the store is deleted, or if the store or account is suspended or terminated under section 9.

5. Seller Responsibilities

  • If you collect payment through your own Stripe, PayPal, or custom gateway (section 2.3), you are the merchant of record for those orders: keep your credentials valid and your gateway reachable, comply with your provider's terms, and handle refunds, chargebacks, and payment receipts for those orders in your own provider account.
  • Store owners are fully responsible for the products they list, including their legality, accuracy, and compliance.
  • All items must comply with the laws and regulations of both the seller’s and the buyer’s district, country, or state.
  • Prohibited content includes:
    • Sexual or explicit materials: Any store found listing adult, pornographic, or sexually explicit content will be immediately banned.
    • Fraudulent or misleading products, counterfeit goods, or scam-related items.
    • Terrorism or money laundering: Stores involved in money laundering, financing terrorism, or related suspicious activities will be immediately banned and subject to legal action.
  • Legal action will be taken against any store owner found engaging in fraud, scams, illegal activities, or malicious behavior.
  • Each store must provide and maintain accessible and responsive contact methods for customers. Failure to do so may result in account suspension or termination.

6. Buyer Responsibilities

  • Buyers are responsible for ensuring that all order information is accurate, including shipping addresses.
  • Orders cannot be canceled or edited after they are submitted on MallBasket.
  • Any changes or special requests must be handled directly with the store owner.
  • Buyers are responsible for what they order and must communicate respectfully and truthfully with sellers.

7. Refunds, Returns, and Disputes

  • If an item or transaction is determined to be fraudulent or deceptive, MallBasket may issue a refund to the buyer prior to transferring funds to the store owner.
  • Returns and refunds must be coordinated directly between the buyer and seller.
  • MallBasket reserves the right to withhold payouts during dispute investigations or in cases of fraud, suspicious activity, or customer complaints.
  • The two remedies above — refunding a buyer before payout, and withholding a payout — are only available for payments MallBasket collects and holds (section 2.2). Where a store collects payment directly through its own Stripe, PayPal, or custom gateway (section 2.3), there is no MallBasket-held balance to refund from or withhold, and refunds and disputes are handled by that store in its own provider account.

8. Platform Use and Security

  • Unauthorized access, exploitation of system vulnerabilities, or attempts to bypass platform restrictions are strictly prohibited.
  • Any attempt to hack, breach, or tamper with MallBasket’s systems or infrastructure will result in immediate legal action and permanent account termination.
  • MallBasket employs strict security measures to safeguard user data, transactions, and overall platform integrity.

9. Account Termination

  • MallBasket may suspend or terminate any account for violating these Terms and Conditions, engaging in fraud, failing to maintain proper customer service, or uploading illegal/prohibited content.
  • Activities such as money laundering, terrorist financing, and distribution of explicit content are grounds for immediate account removal and legal prosecution.
  • Store accounts must remain compliant with all laws and MallBasket policies at all times.

10. Limitation of Liability

  • MallBasket serves as a facilitator between buyers and sellers and is not directly responsible for the content, delivery, or legality of the products listed by store owners.
  • The platform will not be held liable for any losses or damages resulting from user conduct, order issues, or legal violations.
  • Third-party checkout providers are independent of MallBasket. Where a store collects payment through its own Stripe, PayPal, or custom gateway account (section 2.3), MallBasket is not the merchant of record, does not hold the funds, and is not liable for that provider's acts or omissions — including failed, delayed, duplicated, or unsettled payments, holds or reserves placed on a store's account, fees the provider charges, or the provider suspending or closing a store's account.
  • MallBasket is not liable for a store's failure to refund, or for a provider's decision on a chargeback or dispute, in respect of a payment MallBasket never received. Those claims must be pursued with the store or with that provider.
  • Store owners are responsible for keeping their provider credentials valid and their gateway reachable. MallBasket is not liable for orders that cannot be completed because credentials were revoked, expired, or misconfigured, or because a custom gateway was unavailable or returned an invalid response.
  • To the maximum extent permitted by applicable law, MallBasket is not liable for indirect, incidental, or consequential losses arising from a payment made through a store's own provider, and its aggregate liability for any claim relating to such a payment will not exceed the platform fees MallBasket actually received in respect of the affected order.

11. Additional Terms for the Apple App Store

This section applies only if you obtained the MallBasket app from the Apple App Store, and it applies in addition to the rest of these Terms. In this section, "Apple" means Apple Inc. and "Licensed Application" means the MallBasket app. Where this section conflicts with the rest of these Terms, this section governs for the Licensed Application.

These Terms are the EULA for the Licensed Application. Any IAP made inside it — the subscriptions in section 3 and the credit packs in section 4 — is sold and processed by Apple through the App Store, and Apple's own terms and refund policy apply to that transaction.

  • Acknowledgement. These Terms are concluded between you and GENERICS LAB SOFTWARE, LLC only, and not with Apple. We, not Apple, are solely responsible for the Licensed Application and its content. These Terms do not provide usage rules for the Licensed Application that are less restrictive than, or in conflict with, the Usage Rules in the Apple Media Services Terms and Conditions; in the event of a conflict, the Usage Rules govern.
  • Scope of licence. The licence granted to you for the Licensed Application is a non-transferable licence to use it on any Apple-branded product that you own or control, as permitted by the Usage Rules, except that the Licensed Application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
  • Maintenance and support. We are solely responsible for providing any maintenance and support services for the Licensed Application, as specified in these Terms or as required under applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services for the Licensed Application. Support requests should be sent to the address in section 13.
  • Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent they are not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) you paid for the Licensed Application. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be our sole responsibility.
  • Product claims. We, not Apple, are responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and use of it, including: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. These Terms do not limit our liability to you beyond what is permitted by applicable law.
  • Intellectual property claims. In the event of any third-party claim that the Licensed Application or your possession and use of it infringes that third party's intellectual property rights, we, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of that claim.
  • Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Third-party terms. You must comply with any applicable third-party terms of agreement when using the Licensed Application.
  • Apple as third-party beneficiary. You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms as they apply to your licence of the Licensed Application, and that Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
  • Developer contact. GENERICS LAB SOFTWARE, LLC — see section 13 for our address and contact details for questions, complaints, and claims concerning the Licensed Application.

12. Updates to Terms and Conditions

  • We reserve the right to modify these Terms and Conditions at any time.
  • If major updates or significant changes are made, we will notify all registered users via email or in-app notification.
  • Continued use of MallBasket after updates implies acceptance of the revised Terms and Conditions.
